TERMS OF USE AND DOWNLOAD AGREEMENT

EmpowerChange Field Guide Series · OCIA LLC

These terms govern your purchase, download, and use of the EmpowerChange Field Guide Series and its associated toolkit, instruments, templates, and materials (the "Materials"), provided by OCIA LLC ("OCIA," "we," or "us"). By downloading or using the Materials, you agree to these terms. If you do not agree, do not download or use the Materials.

1. LICENSE GRANTED

OCIA grants you a single-user, non-exclusive, non-transferable license to access and use the Materials for your own professional work. This license is personal to the individual who purchased it.

2. PERMITTED USE

You may use the instruments, templates, and guidance in the course of your own change-management practice, including in engagements you conduct for your own clients or employer; complete, fill in, and adapt the working templates for use within those engagements; and reference the methodology and frameworks in your own practice. Using a completed template while serving a client is permitted. Distributing the blank Materials, the underlying content, or the Series itself to that client or any third party is not.

3. RESTRICTIONS

You may not: share, distribute, transfer, or provide access to the Materials or your download links or login credentials to any other person, whether inside or outside your organization; resell, sublicense, rent, lease, or otherwise commercialize the Materials or any part of them; reproduce, republish, or repackage the content, in whole or in part, as your own product, publication, course, or template set; or remove or alter any copyright, attribution, or proprietary notice in the Materials. Each license is intended for one user. If additional members of your team need access, each requires a separate purchase.

4. INTELLECTUAL PROPERTY

The Materials, including all text, instruments, frameworks, and design, are the intellectual property of OCIA LLC and are protected by copyright. This license does not transfer ownership of any part of the Materials to you. All rights not expressly granted are reserved by OCIA.

5. NO REFUNDS

All sales are final. Because the Materials are digital products delivered immediately and cannot be returned, OCIA does not offer refunds, exchanges, or cancellations once a purchase is completed. By completing your purchase and downloading the Materials, you acknowledge and accept this no-refund policy.

6. NO GUARANTEE OF OUTCOMES

The Materials provide professional guidance, frameworks, and tools for organizational change management on AI implementations. They are offered for informational and professional-development purposes. OCIA does not guarantee any specific result, adoption rate, project outcome, or business performance from use of the Materials. Outcomes depend on factors outside our control, including your own application of the guidance, your organization's circumstances, and the conditions of each implementation. The Materials are not legal, financial, or compliance advice.

7. LIMITATION OF LIABILITY

To the fullest extent permitted by law, OCIA LLC and its members, employees, and affiliates will not be liable for any indirect, incidental, consequential, special, or punitive damages, or for any loss of profits, data, or business, arising out of or related to your use of or inability to use the Materials, even if advised of the possibility of such damages. OCIA's total liability for any claim related to the Materials will not exceed the amount you paid for the Materials giving rise to the claim.

8. GOVERNING LAW

These terms are governed by the laws of the State of North Carolina, USA, without regard to its conflict-of-laws principles. Any dispute arising under these terms will be subject to the exclusive jurisdiction of the state and federal courts located in North Carolina.

9. CHANGES TO THESE TERMS

OCIA may update these terms from time to time. The version in effect at the time of your purchase governs that purchase. Continued use of the Materials after an update constitutes acceptance of the revised terms.
